These terms govern your use of vermetra.com and describe the general framework of our services. By browsing the site or contacting us, you agree to what follows.

01Use of the website

This website is provided for informational and commercial purposes. You may browse and share it, provided you do not interfere with its operation or attempt to access non-public systems.

You may not use the site for unlawful activity, transmit malicious code, or scrape data by automated means without our written permission.

02Scope of services

Vermetra provides paid media management, creative production and conversion rate optimization for ecommerce brands.

The specific scope, fees, timelines and responsibilities of each engagement are set out in a signed proposal, statement of work or master services agreement. That document controls over anything published on this site.

Services are performed on a best-efforts professional basis. We apply industry best practices and professional judgment, but we do not guarantee specific revenue, ranking or return outcomes.

03Results and metrics

Metrics, case studies and percentages shown on this site are illustrative and reflect particular budgets, offers and market conditions. They are not a promise of future performance.

Campaign outcomes depend on factors outside our control, including pricing, inventory, fulfillment, product quality, competition, seasonality, and changes to advertising platform policies, algorithms or ad account status.

04Client responsibilities

The client provides timely and valid access to advertising accounts, ecommerce platform, and measurement tools, along with accurate information about products, pricing and inventory.

The client is responsible for its product claims and substantiation, for compliance with FTC advertising rules and applicable consumer protection, health and endorsement guidelines, for its own privacy notices and consent mechanisms, and for paying media spend directly to each platform.

05Advertising platform policies

All campaign work is subject to the terms and policies of the platforms involved, including Meta's Advertising Standards, Commercial Terms and Business Tools Terms, and the equivalent Google and TikTok policies.

We may decline or pause creative, claims, landing pages or targeting that we reasonably believe violate those policies or applicable law. Ad account disapprovals, restrictions or suspensions imposed by a platform are outside our control and are not a breach of these terms.

06Confidentiality

We treat client commercial, financial and strategic information as confidential and use it only to perform the services.

We may reference a client's name or logo as a commercial reference unless the client asks us in writing not to.

07Intellectual property

The Vermetra name, this website's design, its copy and graphic assets are owned by us or used under license, and may not be reproduced for commercial purposes without prior written permission.

Ownership of creative deliverables produced for a client is governed by the applicable engagement agreement. Our internal methodologies, frameworks, templates and tools remain our property.

08Disclaimers and limitation of liability

The website and its content are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, Vermetra is not liable for lost profits, lost data, or indirect, incidental, special, consequential or punitive damages arising from use of the site or from interruptions of third-party services such as advertising platforms or ecommerce providers. Our aggregate liability relating to an engagement is limited to the fees paid to us for the three months preceding the claim.

Links to external sites are provided for convenience; we do not control their content or policies.

09Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware, unless a signed client agreement provides otherwise.

We may modify these terms at any time; the version posted on this page is the one in effect.
